Terms and conditions governing GXS FlexiLoan It's On Us Campaign (“Campaign”)

By participating in any of the following Promotion(s) under this Campaign, you agree to the following terms and conditions, as may be amended by the Bank from time to time (“Terms”). Unless otherwise stated, all capitalised terms used in this Campaign shall have the meanings set forth in the GXS FlexiLoan Terms and Conditions or as otherwise defined elsewhere in these Terms.

1. GXS FlexiLoan It’s On Us Campaign

This Campaign consists of the following three (3) Promotions and is available from 1 November 2023 to 31 December 2023 (both dates inclusive) or such date(s) as may be determined and notified by GXS Bank Pte. Ltd. (“GXS” or “Bank”) in its sole and absolute discretion (“Promotion Period”):

  1. GXS FlexiLoan It’s On Us Reward 1 Promotion (“Reward 1 Promotion”);
  2. GXS FlexiLoan It’s On Us Reward 2 Promotion (“Reward 2 Promotion”); and
  3. GXS FlexiLoan It’s On Us Lucky Draw (“Draw”)

(each, a “Promotion”).

2. GXS FlexiLoan It’s On Us Reward 1 Promotion

2.1. Eligibility

  1. Subject to Clause 2.1(b) below, you are eligible to participate in this Reward 1 Promotion if:
    i. you do not hold or maintain a GXS FlexiLoan account as at the date of this Promotion;
    ii. you are aged 21 and 65 years of age and have full legal capacity;
    iii. you are a Singapore Citizen or Singapore Permanent Resident;
    iv. your annual income is at least S$20,000;
    v. you have applied for a GXS FlexiLoan during the Promotion Period through GXS channels made available and accepted by the Bank,

    (a “Reward 1 Eligible Participant”).
  2. You will not be a Reward 1 Eligible Participant if:
    i. you are an existing holder of a GXS FlexiLoan account or have opened and held a GXS FlexiLoan account at any time prior to the Promotion Period;
    ii. any condition in Clause 2.1(a) has not been complied with;
    iii. any information which you have provided to the Bank during the GXS FlexiLoan application process has materially changed prior to drawdown of the loan; or
    iv. at any time during the Promotion Period or prior to fulfillment of the S$5 GrabGift Reward:
           (A) your GXS FlexiLoan account with the Bank is closed, suspended, cancelled or terminated (whether voluntarily or involuntarily); or
           (B) you’ve breached any of the Terms of this Campaign or the GXS FlexiLoan Terms and Conditions.

2.2. Reward

  1. Under this Reward 1 Promotion, a Reward 1 Eligible Participant is eligible to receive a S$5 GrabGift Promotion Code (“S$5 GrabGift Reward”) subject to the Terms of this Campaign.
  2. The S$5 GrabGift Reward is awarded on a first-come-first-served basis and is limited to the first 20,000 Reward 1 Eligible Participants who have successfully complied with the terms and conditions of this Reward 1 Promotion (and any other applicable Terms of this Campaign) (“Reward 1 Successful Participant”), provided such customer has provided the Bank with full and accurate details and/or particulars.
  3. Each Reward 1 Successful Participant is entitled to only one (1) S$5 GrabGift Reward.
3. GXS FlexiLoan It’s On Us Reward 2 Promotion

3.1. Eligibility

  1. Subject to Clause 3.1(b) below, you are eligible to participate in this Reward 2 Promotion if:
    i. you
         (A) have applied for a GXS FlexiLoan during the Promotion Period through GXS channels made available and accepted by the Bank and the Bank has approved your GXS FlexiLoan application during the Promotion Period; or
          
    (B) are an existing holder of a GXS FlexiLoan account, and such account remains active and in good standing with the Bank at all material times, including during the Promotion Period; and
    ii. you have performed a drawdown of a single loan of (1) at least S$5,000 or (2) at least 50% of the credit limit made available to you during the Promotion Period; and
    iii. the loan referred to in sub-clause (ii) has a loan tenure of not less than 6 months.

        (a “Reward 2 Eligible Participant”).

  1. You will not be a Reward 2 Eligible Participant if:
    i. you prepay your loan in full on or before 15 January 2024;
    ii. any condition in Clause 3.1(a) has not been complied with;
    iii. any information which you have provided to the Bank during the GXS FlexiLoan application process has materially changed prior to drawdown of the loan; or
    iv. at any time during the Promotion Period or prior to fulfillment of the S$30 GrabGift Reward:
           (A) your GXS FlexiLoan account with the Bank is closed, suspended, cancelled or terminated (whether voluntarily or involuntarily); or
           (B) you’ve breached any of the Terms of this Campaign or the GXS FlexiLoan Terms and Conditions.

3.2. Reward

  1. Under this Reward 2 Promotion, a Reward 2 Eligible Participant is eligible to receive a S$30 GrabGift Promotion Code (“S$30 GrabGift Reward”) subject to the Terms of this Campaign.
  2. The S$30 GrabGift Reward is awarded on a first-come-first-served basis and is limited to the first 2,000 Reward 2 Eligible Participants who have successfully complied with the terms and conditions of this Reward 2 Promotion (and any other applicable Terms of this Campaign) (“Reward 2 Successful Participant”), provided such customer has provided the Bank with full and accurate details and/or particulars.
  3. Each Reward 2 Successful Participant is entitled to only one (1) S$30 GrabGift Reward.
4. GXS FlexiLoan It’s On Us Lucky Draw

4.1. Eligibility

  1. Subject to Clause 4.1(b) below, you are eligible to participate in the Draw organised and conducted by the Bank if:
    i. you are not an existing holder of a GXS FlexiLoan account:
         (A) you have applied for a GXS FlexiLoan during the Promotion Period through GXS channels made available and accepted by the Bank and the Bank has approved your GXS FlexiLoan application during the Promotion Period; and
          
    (B) you have performed a drawdown of a single loan of (1) at least S$5,000 or (2) at least 50% of the credit limit made available to you during the Promotion Period, and such loan has a loan tenure of not less than 6 months; or
    ii. you are an existing holder of a GXS FlexiLoan account:
         (A) such account remains active and in good standing with the Bank at all material times, including during the Promotion Period and until such time the winner of the Draw is determined and the Prize thereunder is fulfilled; and
         (B) you have an existing loan of (1) at least S$5,000 or (2) at least 50% of the credit limit made available to you drawn at any time (whether prior to or during the Promotion Period) and such loan must be existing as at 15 January 2024 (as defined below),

        (a “Lucky Draw Eligible Participant”).

  1. You will not be a Lucky Draw Eligible Participant if:
    i. you prepay your loan in full or your loan is fully repaid on or before 15 January 2024 (as defined below in Clause 4.2(c));
    ii. any condition in Clause 2(a) has not been complied with;
    iii. any information which you have provided to the Bank during the GXS FlexiLoan application process has materially changed prior to drawdown of the loan; or
    iv. at any time during the Promotion Period or prior to the Draw Date (as defined below):
           (A) your GXS FlexiLoan account with the Bank is closed, suspended, cancelled or terminated (whether voluntarily or involuntarily); or
           (B) you’ve breached any of the Terms of this Campaign or the GXS FlexiLoan Terms and Conditions.

4.2. Lucky Draw

  1. Upon fulfillment of the eligibility requirements of the Draw and the Terms of the Draw, the Lucky Draw Eligible Participant’s name will be automatically submitted to the Draw pool. If you do not wish to participate in the Draw, please inform the Bank by calling (+65) 3105 2055 before 15 January 2024.
  2. Each Lucky Draw Eligible Participant will be awarded only one (1) chance in the Draw.
  3. The Draw will be conducted on 18 January 2024 (the “Draw Date”) between 10am to 6pm (Singapore time) at the GXS office located at 3 Media Close, #09-00, Singapore 138498 (or such other date, time or location as the Bank may determine at its sole and absolute discretion without prior notice). The Draw will be witnessed by an external auditor or other scrutineer appointed by the Bank at its sole and absolute discretion.
  4. A total of eight (8) winners will be selected at random from the pool of Lucky Draw Eligible Participants (“Winners”) by the Bank using such methods and in such manner (which may be manual or computerised) as the Bank may determine in its sole discretion. Each Winner is limited to only one (1) Prize. This means selecting the same Lucky Draw Eligible Participant more than once as a Winner is not allowed.
  5. The Bank reserves the right to draw alternative or reserve winners to replace any Winner who is or may be subsequently found to be ineligible or disqualified from the Draw.
  6. If a Winner is subsequently discovered to not be a Lucky Draw Eligible Participant or not be eligible or qualified to receive or claim a Prize (which eligibility or qualification shall be determined at the Bank’s sole discretion), the Bank reserves the right to forfeit the Prize, reclaim the Prize or charge you the full value of the Prize, without prior notice to you.
  7. The Winners will be notified by email to their last known GXS-registered email address based on GXS’ records and/or through push notifications in the GXS app on 22 January 2024 or on any such date as the Bank may determine in its absolute discretion but in any case within seven (7) days from the Draw Date. Winners may also be contacted by telephone using the last-known contact number based on GXS’ records. Only the Winners will be notified of the results of the Lucky Draw Promotion together with details on how to claim the Prize. The details (full name and partially masked NRIC) of the Winners will also be announced on GXS’ website at http://www.gxs.com.sg/flexiloan-its-on-us.

4.3 Prize

  1. Lucky Draw Eligible Participants will stand a chance to win a one-time cash prize equivalent to the transaction amount(s) of any purchase or payment (as evidenced by the submitted Invoices (as defined below) referred to in this Clause 4), up to a maximum amount of S$3,000, subject to the Terms of the Draw (“Prize”). To clarify, subject to the Terms of this Draw, a Winner will receive the amount in Singapore dollars set out in the submitted Invoices referred to in this Clause 4, capped at a maximum amount of S$3,000.
  2. In order for a Winner to be able to claim a Prize, a Winner must submit scanned and legible copies of the official invoice(s), bill(s), credit card statement(s) or receipt(s) (“Invoices”) to itsonus@gxs.com.sg by 5 p.m. on 5 February 2024, and any other information that the Bank may require, whether for validation or otherwise, at its sole discretion.. A Winner is able to submit up to three (3) Invoices. If any Winner submits more than three (3) Invoices, only three (3) Invoices of the lowest value will be considered.
  3. If:
    i. the Invoices include invoice(s), bill(s) or receipt(s), such Invoices:
           (A) must be official invoices, bills or receipts indicating the full name of the entity issuing the relevant invoice, bill or receipt;
           (B) must be in Singapore dollars;
           (C) must contain a description of goods or services purchased (i.e. an invoice, bill or receipt only indicating what is charged or had been paid for without indicating what item has been purchased or paid for is not permitted);
            (D) for Lucky Draw Eligible Participants who were prior to the Promotion Period not an existing holder of a GXS FlexiLoan account under Clause 4.1(a)(i), must be dated between 1 November 2023 and 31 December 2023 (both dates inclusive); and
            (E) for Lucky Draw Eligible Participants who prior to the Promotion Period were existing holders of a GXS FlexiLoan account under Clause 4.1(a)(ii), must be dated between 1 May 2023 and 31 December 2023; or

    ii. the Invoices include credit card statement(s):
            (A) such credit card statement must be an official credit card statement(s) indicating the full name of the credit card issuer;
           (B) the charged amounts under the credit card must be in Singapore dollars;
           (C) a Winner must indicate in their submission of Invoices which transaction(s) in their credit card statement they are entering for submission for purposes of claiming the Prize and the corresponding transaction amount. For the avoidance of doubt, a Winner should not select or indicate more than three (3) transactions in all credit card statements submitted to the Bank, and where there are more than three (3) transactions selected, the Bank shall only take into account three (3) transactions of the lowest value, as may be determined by the Bank at its sole discretion. To clarify, a Winner cannot submit the entire credit card statement amount;
           (D) for Lucky Draw Eligible Participants who were prior to the Promotion Period not an existing holder of a GXS FlexiLoan account under Clause 4.1(a)(i), the credit card statement submitted must be dated between 1 November 2023 and 31 December 2023 (both dates inclusive); and
            (E) for Lucky Draw Eligible Participants who prior to the Promotion Period were existing holders of a GXS FlexiLoan account under Clause 4.1(a)(ii), the credit card statement submitted must be dated between 1 May 2023 and 31 December 2023.
  4. A Winner shall be forfeited from being able to claim a Prize if: 
    i. a Winner does not submit an Invoice or Invoices referred to in Clauses 4.3(b) and 4(c) above before 5 p.m. on 5 February 2024;
    ii. the Bank determines, at its sole and absolute discretion and without any liability to any person, that such Winner is ineligible to participate in the Draw or to claim any prize for any reason, including but not limited to the Bank determining that a Winner had or is reasonably suspected to have made purchases or payments for or in connection with any of the following purposes: any fraudulent, illicit, illegal or unfit purpose, any purpose which has or may result (directly or indirectly) in any harm, claim, liability or reputational risk to the Bank, any political activities or donations, gambling or similar activities, any down payment of property, any motor vehicle purchase and any repayment of any debt or credit facility.
  5. All Winners who are qualified to claim a Prize (a “Qualified Winner”) will be notified by email to their last known GXS-registered email address based on GXS’ records and/or through push notifications in the GXS app.
  6. The Prize will be credited via PayNow (using such Qualified Winner’s NRIC) into each Qualified Winner’s bank account which has been registered with or linked to PayNow by 31 March 2024. Each Qualified Winner is responsible for ensuring that (i) their NRIC and (ii) a valid and existing bank account that is in good standing and has not been blocked from use, is linked to such Qualified Winner’s PayNow by 1 March 2023. The Bank shall not be responsible for any loss or damage suffered by any person if the Prize is not credited or available for use, or if the Winner is unable to claim, redeem or use the Prize.
  7. Any unclaimed Prize will be forfeited without any liability on the Bank and the Bank may donate the Prize to a charitable organisation of its choice at its absolute discretion.

4.4 Personal Data Consent

Any Lucky Draw Eligible Participant who does not withdraw his or her participation in the Draw in accordance with Clause 4.2(a), and in addition to any consent already provided to the Bank and any right of the Bank under applicable laws, consents to the Bank (and any other necessary third party) collecting, using and disclosing your information (including your personal data) for purposes relating to your participation in the Draw, including:

i. to notify you of the Draw results and for the announcement of the Winners on the GXS website/social media page/app, newspaper and/or such other channels as the Bank may determine in its sole discretion;

ii. with respect to the claiming, redemption or collection of the Prize; and/or

iii. to contact you for any publicity in connection with the Draw, including without limitation, for any request to take photographs and/or videos of you or for a quote or interview with respect to the Draw.

5. General Rewards and Prize Terms and Conditions
  • This Clause 5 applies to the Promotions, the relevant rewards (the S$5 GrabGift Reward and the S$30 GrabGift Reward, together the “Rewards”) and the Prize under this Campaign.
  • Following the end of the Promotion Period, and/or upon such time that the relevant Terms of each Promotion has been fulfilled, the Bank will provide the Reward 1 Successful Participants and Reward 2 Successful Participants (together, the “Successful Participants”) with details to redeem and/or use the Reward, and such conditions accompanying the redemption and/or use of the Reward from the supplier of the Reward. Only the Successful Participants will be notified. 
  • The Successful Participants and Winners shall accept their respective Rewards and Prizes as it is and subject to any terms and conditions that may be imposed by the supplier of the Reward or Prize, as applicable.
  • The Successful Participants and Winners shall comply with such conditions with respect to the redemption, claiming and/or use of the Rewards and/or Prizes, as stipulated by the supplier of the Reward and/or (including the expiry of the Reward or Prize) or these Terms.
  • The Rewards are available on a first-come first-served basis and may be limited in quantity and the Bank makes no guarantee on the availability of a Reward.
  • The Rewards and Prizes shall not be transferable, sold and/or exchangeable for cash, credit or any other items in part or in whole.
  • The Bank shall not be liable to replace and/or compensate any Successful Participant and/or Winner for any Reward and/or Prize that has been lost, expired and/or otherwise not claimed, redeemed, collected or used in accordance with the terms and conditions (including these Terms).
  • The Bank reserves the right to claw back the value of any Reward or Prize if it determines, at its sole and absolute discretion, that a customer has not fulfilled the terms of the applicable Promotion, Draw or this Campaign and/or otherwise any misrepresentation, misconduct, fraud, and/or unfair or illegal conduct has been exhibited on the part of the customer at any time.
  • The Bank is not the supplier of the Rewards, and is not obliged to assist or otherwise act on behalf of the customer to communicate with the supplier of the Rewards for any reason, including but not limited to, the pursuit of any recourse against the supplier.
  • The Bank makes no representation or warranty as to the quality or fitness for purpose, whether express or implied, of the Rewards.
  • The Bank may substitute the Rewards or the Prize with any item of equivalent value or similar value at its sole discretion without prior notice or reason and without being liable to any person.
6. General Terms and Conditions
  • Each Promotion set out in this Campaign is not valid with other offers or promotions unless otherwise stated. A customer may participate in one (1) or more Promotions under this Campaign.
  • The Bank may add to, amend, modify or vary any or all of these Terms at any time without notice or liability to any person.
  • The Bank’s records and decisions on all matters relating to any Promotion (including but not limited to the eligibility of any person to participate in the Promotion and the awarding of any cashback, voucher or item or determination of any winner) shall be final, conclusive and binding on all customers. We are not obliged to entertain any correspondence.
  • In the event of any inconsistency between these Terms and any brochure, marketing or promotional material relating to this Campaign, these Terms shall prevail.
  • The Bank, employees and/or independent contractors shall not be liable for any loss, liability, expense, damage and/or injury whatsoever or howsoever incurred or sustained by any person by reason of, arising from or in connection with any Promotion under this Campaign including the redemption, claiming, crediting or use of any Rewards, Prize, good, service, product or facility of any merchant (if applicable), the participation in any of the Promotions under this Campaign, or for any other reason.
  • The Bank shall not be liable or responsible for any late or lost submissions, for any undelivered, incorrectly delivered, corrupted, lost or late communications, transfer or crediting of funds, transmission or transaction, howsoever caused.
  • The Bank is not responsible for any failure or delay in the transmission of any transaction by any party, including acquiring merchants, merchant establishments or any telecommunication provider.
  • These Terms shall be governed by and interpreted in accordance with Singapore law, and you agree to submit to the exclusive jurisdiction of the Singapore courts.
  • A third party who is not a party to these Terms shall have no rights under the Contracts (Rights of Third Parties) Act 2001 of Singapore to enforce or enjoy the benefit of any provision of these Terms.
  • The Bank reserves the right, at its sole and absolute discretion, to suspend, discontinue, extend and/or otherwise terminate any Promotion under this Campaign at any time without notice. The Bank shall not be liable for any damages, losses, claims or expenses arising from the suspension, discontinuance, extension and/or termination of any Promotion.
